2. Services Description

2.1 CoreBytes Services

CoreBytes provides various technology solutions and services through its subsidiaries, DriversEdPro and TrueWebExperts. These services include, but are not limited to, software development, consulting, training, and support services.

2.2 DriversEdPro Services

DriversEdPro provides driver education technology, including simulation software, learning management systems, and educational resources. These services are designed to assist in driver training and education but are not a substitute for proper in-person instruction or real-world driving experience.

2.3 TrueWebExperts Services

TrueWebExperts provides web development, design, hosting, maintenance, and related services. These services are designed to create and maintain web presences for clients but do not guarantee specific business outcomes or performance metrics unless explicitly stated in a separate agreement.

3. User Accounts and Responsibilities

To access certain features of our Services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate, current, and complete information during the registration process
• Maintain and promptly update your account information
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized access to or use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate your account if we suspect unauthorized access or if you violate these Terms.

4. User Conduct

You agree not to use our Services to:

• Violate any applicable law, regulation, or third-party rights
• Upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity
• Interfere with or disrupt the Services or servers or networks connected to the Services
• Attempt to gain unauthorized access to any portion of the Services or any other accounts, computer systems, or networks connected to the Services
• Use any robot, spider, site search/retrieval application, or other automated device, process, or means to access, retrieve, scrape, or index any portion of the Services
• Collect or harvest any information about other users without their consent

5. Intellectual Property Rights

The Services and all content, features, and functionality thereof, including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof, are owned by CoreBytes, its subsidiaries, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms do not grant you any right, title, or interest in the Services or any content, features, or functionality of the Services. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as follows:

• Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials
• You may store files that are automatically cached by your web browser for display enhancement purposes
• You may print or download one copy of a reasonable number of pages of the website for your own personal, non-commercial use and not for further reproduction, publication, or distribution
• If we provide social media features with certain content, you may take such actions as are enabled by such features

6. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, COREBYTES AND ITS SUBSIDIARIES EXPLICITLY DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

We make no warranty that the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. We make no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness, or reliability of any content available through the Services.

SPECIFICALLY FOR DRIVERSPRO SERVICES: WE EXPLICITLY DISCLAIM ANY LIABILITY FOR ACCIDENTS, INJURIES, OR DAMAGES THAT MAY RESULT FROM THE USE OF OUR DRIVER EDUCATION TECHNOLOGY. OUR SIMULATION SOFTWARE AND EDUCATIONAL RESOURCES ARE DESIGNED AS LEARNING TOOLS ONLY AND ARE NOT A SUBSTITUTE FOR PROPER IN-PERSON INSTRUCTION OR REAL-WORLD DRIVING EXPERIENCE. USERS MUST EXERCISE THEIR OWN JUDGMENT AND COMPLY WITH ALL APPLICABLE TRAFFIC LAWS AND REGULATIONS WHEN OPERATING ACTUAL VEHICLES.

SPECIFICALLY FOR TRUEWEBEXPERTS SERVICES: WE DO NOT GUARANTEE THAT WEBSITES OR APPLICATIONS DEVELOPED OR MAINTAINED BY US WILL BE FREE FROM ERRORS, VULNERABILITIES, OR DOWNTIME. WE DO NOT GUARANTEE SPECIFIC BUSINESS OUTCOMES, TRAFFIC LEVELS, CONVERSION RATES, OR REVENUE GENERATION FROM OUR WEB DEVELOPMENT SERVICES UNLESS EXPLICITLY STATED IN A SEPARATE AGREEMENT.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COREBYTES AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES
• ANY CONTENT OBTAINED FROM THE SERVICES
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
• ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY
• ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICES
• THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID US IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED DOLLARS ($100).

THE FOREGOING LIMITATIONS WILL APPLY EVEN IF THE ABOVE STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

8. Indemnification

You agree to defend, indemnify, and hold harmless CoreBytes, its subsidiaries, affiliates, officers, agents, employees, partners, and licensors from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with:

• Your access to or use of the Services
• Your violation of these Terms
• Your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right
• Any claim that your content caused damage to a third party

This defense and indemnification obligation will survive these Terms and your use of the Services.

9. Termination

We reserve the right, in our sole discretion, to terminate your access to all or part of the Services, with or without notice, for any reason or no reason, including without limitation your violation of these Terms. Upon termination, all rights granted to you under these Terms will immediately cease.

We specifically reserve the right to terminate or suspend your access to any DriversEdPro or TrueWebExperts services at any time, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination:

• Your right to use the Services will immediately cease
• We may delete or archive any content or data associated with your account
• You will remain liable for all amounts due up to and including the date of termination
• We will not be liable to you or any third party for termination of access to the Services

Any provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law and Jurisdiction

These Terms and any dispute arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of California, in each case located in the City and County of San Francisco. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

11. Arbitration Agreement

At our sole discretion, we may require you to submit any disputes arising from these Terms or use of the Services, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying California law.

BY AGREEING TO THESE TERMS, YOU ARE WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION LAWSUIT.

12. Entire Agreement

These Terms constitute the entire agreement between you and CoreBytes regarding the use of the Services, superseding any prior agreements between you and CoreBytes relating to your use of the Services.

13. Waiver and Severability

No waiver by CoreBytes of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of CoreBytes to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
